Number of shares:  37.5 million shares
Purchase price:  20 cents per unit
Warrants:  18.75 million share purchase warrants to purchase 18.75 million shares
Warrant exercise price:  30 cents for a period of two years
Hidden placees:  55 hidden placees
Pro groups:  Matthew Gaasengeek, 1.5 million; John Scott Davidson, 50,000; Scott Wigle, 50,000; Graham Saunders, 1.5 million; Jamie Levy, 250,000; Robert Achtymichuk, 142,000; Gregory Flower, 100,000; Bruce McDonald, 750,000; James Oleynick, 250,000
Insiders:  Sigward Slotboom, 125,000; Quantum Partners LP (Jay Schoenfarber), 9.05 million
