On December 22, 2010, the Company issued 8,325,750 FT Units at a price of
.40 per FT Unit 
for total proceeds of $3,330,300 and 4,638,056 Units at a price of
.36 per Unit for total 
proceeds of $1,669,700.  Each FT Unit consists of one common share and one-half of one flowthrough share purchase warrant.  Each whole share purchase warrant entitles the holder to 
purchase an additional common share at a price of
.50 per share for a period of 12 months 
from the date of closing.  Each Unit consists of one common share and one-half share purchase 
warrant.  Each whole share purchase warrant entitles the holder to purchase an additional 
common share at a price of
.45 per share for a period of 12 months from the date of closing.  
The Company paid cash finder fees in the amount of  $404,895.  The Company also issued 
1,034,883 agent compensation warrants, with each whole share purchase warrant entitling the 
holder to purchase an additional common share at a price of
.50 per share for a period of 12 
months from the date of closing
