"IDC has formed a committee consisting of Adam Adamou (director), Fred Godard (President and Chief Executive Officer and a director), Graham McBride (director) and Frank Ruffolo (director) to identify candidates to join the Board as part of the ongoing process to further build-out its collective skill-set."

It sounds to me like they are shopping around for their replacements. Why else would they need to identify candidates (plural)? It's not like there is much new happening at IDC business-wise.  The company will be bought out, the comittee will surrender their shares (hopefully at a nice mark-up - see AA's valuation criteria), and then retire to count their monies while the new Board takes up the reigns.
