MFS Municipal Income Trust (the Fund) is a diversified closed-end management investment company. Its investment objective is to seek high current income exempt from federal income tax but may also consider capital appreciation. It invests approximately 80% of its net assets, including assets attributable to preferred shares and borrowings for investment purposes, in municipal bonds. These municipal bonds include debt securities issued by or on behalf of states, territories, possessions of the United States, the District of Columbia, and their political subdivisions, agencies, or instrumentalities. The Fund invests in various sectors, such as hospitals, secondary schools, colleges, schools, and water and sewer utilities. It has investments in areas including Alabama, Alaska, Arizona, Arkansas, California, Colorado, Delaware, Florida, Georgia, Guam, Hawaii, Idaho, and Illinois. Massachusetts Financial Services Company is the investment adviser of the Fund.

Hi Matt I'll give you one example of one that I have been involved with.

EPL spun out CPY on a 1 for 1 basis.EPL also throw in a couple of

other metal plays to even out the 1 to 1 ratio I assume.Cpy main interest was

a 40% interest in galore creek, and take a guess who the joint venture partner

was yep your right NG.I sold the shares for over a buck in 2007,then the crash came

bought loads of them back for pennies a share and then I sat back and waited for

the offer from NG and sure enough in 2010 December the offer came in at around a buck

a share.Yes I am fairly new to the company but I like what I see and I don't expect things to

move at warp speed trust me Matt I am very patient,but I really see a huge opportunity here

with SR as a stand alone company.MFM is a project generator and I don't know about you

It's a funway to make money.If MFM decides to sell SR to NG now what would shareholders get???

But as a stand alone company you will get the offer from NG.And your absolutely right that could be years away.

In closing in my opinion spinning out SR is the way to go.
