Pembina Pipeline Corp is a Canada-based energy transportation and midstream service provider. The Company owns pipelines that transport hydrocarbon liquids and natural gas products produced primarily in Western Canada. It also owns gas gathering and processing facilities and an oil and natural gas liquids infrastructure and logistics business. It operates through three segments: Pipelines, Facilities and Marketing & New Ventures. The Pipelines segment provides customers with pipeline transportation, terminalling, and storage in key market hubs in Canada and the United States for crude oil, condensate, natural gas liquids and natural gas. The Facilities segment includes infrastructure that provides Pembina's customers with natural gas, condensate and natural gas liquid (NGL) services. The Marketing & New Ventures segment undertakes value-added commodity marketing activities including buying and selling products, commodity arbitrage, and optimizing storage opportunities.

Kindly explain what is fair about paying someone to give an unbiassed opinion about a transaction, and paying them even more if their (unbiassed) opinion results in the transaction taking place?

Just because "these types of business combinations follow this same format" doesn't make them right - it just degrades the entire format. Its the same kind of morality that led to the events of 2008.
