Buyout or merger

What possible motivation would Mart have to merge with a partner in Nigeria?  Wouldn't that only increase the "Nigeria stigma" for the stock?

Now a buyout I would understand.

Wouldn't a buyout or merger have to be approved by a majority of shareholders?
