low ball offer will remove mgmt buyout bonus' and doubt mgmt has enough support  to fight any takeover offer

low ball offer will remove recent buyers expecting upward value

3rd possible bid (lowest of them all - longs might reconsider position  and  sell into market)

really have no positive feelings left....sorry
