Tinyhope, these lawsuits  to my opinion are a waste of time and money; It would be very difficult for the plaintifs to prove "intent to mislead".  The CEO may claim incompetence which is not a criminal offense and get away with his blunders. The shareholders would be hard pressed to prove that what he did was with the intent to harm the company.  The court would consider these actions as "unintended consequences" based on the premise of the legal code that "everybody is innocent until proven guilty". So the presumption of innocence would make it very difficult to prove intent. Especially if the CEO was himself a big shareholder.
