with some of your assertions. You state:

"Tom Ogryzlo and Wolf Seidler were board members on that board responsible for governance and now they are saying they could not provide good governance"

 

You further state that the BOD is responsible for governance. True enough.

 

However, the BOD CAN ONLY GOVERN BASED ON THE INFORMATION PRESENTED TO THEM BY MANAGEMENT.

 

For the record, MANAGEMENT accumulates and compiles the information for the PERIODIC BOD meetings.

 

The BOD only knows WHAT MANAGEMENT REPRESENTS to them.

 

If two of the BOD suggest that "they could not provide good governance", that reflects badly of the efforts of and the quality of information PROVIDED BY MANAGEMENT.
