Finance Question

THIS HAS NOTHING TO DO WITH MINT.

There seems to be some quite knowledgeable people on this BB when it comes to corporate finance.

Can someone who may know a little more about these things than I do explain to me why a company would choose to issue additional equity through a short form prospectus rather than just doing a private placement?
