Glass Lewis’ view on executive compensation is based on the premise that management’s primary duty is to maximize shareholder value and the performance of the company. In our opinion, compensation practices should align management’s interests with those of shareholders. We believe that executive compensation should be closely tied to company and stock performance.

Maybe the board should ahve hred these guys a long time ago for executive compensation levels. Tho board should resign and give up their salaries and bonuses because they've run this $500M company into the ground.

I propose a new resolution:

#09 that the board of directors immediately resign and forfeit all unpaid salary and compensation due to failure of the company to maintain the shareholder value of the company.
