I agree with your thought process on the AMOUNT of shares being bought, but the "JV Deal" had NOTHING to do with a black out period.  The blackout periods run before and after any news, financial releases.  The "long" black out was created first, because they were witholding the Q4 2011 Fins.  Once that was released, they had about 7 days of open buying available until they entered a new blackout period because they had announced the release of the Q1 2012 Fins, then another short blackout because of a NR in (early may?) don't remember now, but that BO would have run for five days AFTER that release.  So they would have been clear to buy in mid May.  I am guessing that the buying now is just to average down a bit and hedge their own bets, much like some of the rest of us have done.  But, who knows for sure?
