Pursuant to a special resolution passed by shareholders March 12, 1998, the Company has consolidated its capital on a 4 old for 1 new basis and has subsequently increased its authorized capital. The name of the Company has also been changed from Agate Bay Resources Ltd. to Geodex Minerals Ltd.

Effective at the opening April 14, 1998, the common shares of Geodex Minerals Ltd. will commence trading on the Vancouver Stock Exchange, and the common shares of Agate Bay Resources Ltd. will be delisted. The Company is classified as a 'Venture' company.
