That's a difficult one to answer, as SDykes and HFu were directors for quite some time (2003 and 2009-06-15 respectively), and, IMO, it might be difficult to selectively sue only certain directors out of the whole board.

 

That having been said, McClay (and presumably the whole BOD) did say that "...The company's response alleges that (their action)... was...the result of a breach of fiduciary duty by former directors ShaunDykes and HongxueFu..." "...Through an internal investigation, the company discovered that Mr.Dykes, Mr. Fu and IEMR...secretly and improperly copied confidential company information... (... and...used this information..., which occurred while MrDykes and Mr. Fu were directors of the company)..."

If this copied material was kept from SDykes and HFu, then they wouldn't have been privvy to the secret, confidential information, and I. doubt if they could be responsible for not taking action on matters kept from them

I also seem to recall that in the dissident communications that it was mentioned that MSQ hadn't had a sit-down, face-to-face meeting of directors for ages.

Of course, the matters of the loan to K McClay and the share options to K Mcclay were not broken out on the financials until after SDykes and Hfu were removed from the board.
