WND corporate (mis)governance ROTFLMAO...

WND corporate (mis)governance ROTFLMAO...

... so lets get this straight, do i understand this correctly:

in a typical corporate governance structure it goes like this:

- BoD has final responsibility and authority for the coporation and the CoB generally leads the BoD

- the BoD hires the CEO to manage the corporation and the Board distributes its authority to the CEO

-  so the CEO reports into the BoD (the BoD is the CEO's boss)

- then the CEO hires his management team (including CFO, EVP's etc.) typically at exec level with approval of the BoD's.

- now this is WND's set up (as best i can tell)

- WND has a CoB who is also some EVP BD... so it appears that jeffy's boss is also jeffy underling.. so as the CEO order the EVP BD what to put on the BoD agenda, which compensation contracts to present, which NR's to release... it also explains the very hilarious situation where the CEO and not the CoB is the mouthpiece of the company regarding proxy fights, takeovers, etc.... this IMO is a huge conflict and well really quite funny

.. i don't believe i've ever seen this before in any companies i've invested in, and i challenge the SIPs to present 5 credible situations where this has occurred

.. now how come sultana crackhead and the rest of the SIPs never posted about this before
