PBN may get a valuation bump after the spin-out due to additional liquidity and the transfer of control to the market.

It doesn't really matter if PBG sells PBN before or after the spin-out, as the shareholders of PBG will still own their shares of PBN.

They can't sell PBN at fair value given its low trading price (relative to comparables) - this may be as a result of the liquidity and control issues.

By my calculations, if they execute the full PBG buyback and considering the DRIP payments, they will have more than 1.15 PBN per PBG by a mid-2013 spin out.  PBG is a steal if you want PBN exposure.
