Closing of the offering is expected to occur on or about Oct. 4, 2012, and is subject to certain conditions including, but not limited to, the receipt of all necessary approvals, including the approval of the TSX Venture Exchange

 

why is the closing date of the offering so long?  what can disrupt this deal and what are the penalties?
