"BE IT RESOLVED AS A SPECIAL RESOLUTION THAT:
1. The issued and outstanding common shares of the Company be consolidated on a basis of one (1) new common share for up to ten (10) old common shares. The board of directors shall be authorised to: (i) use their discretion to reduce the consolidation ratio; (ii) use their discretion with respect to the timing of the decision to implement the special resolution; (iii) use their discretion to revoke the special resolution; and (iv) to proceed with a change of name of the Company, if required by the TSX Venture Exchange."
A special resolution requires the approval of a two-thirds majority (66.7%) of the votes cast by those shareholders of the Company, who, being entitled to, vote in person or by proxy at a general meeting of the Company.
