Couple of points: A) I am unhappy with the dilution of SME.
The Purchase Price will be payable through a cash payment of US$3,000,000 contributed by Sandstorm; US$2,000,000 payable through the issuance of 4,377,675 common shares of Sandstorm; and a short term promissory note ("Note") issued by Newco in the amount of US$3,500,000 payable
B) Sandstorm has also granted Novadx an option to acquire Sandstorm's interest in Newco at cost.
Why did we give Novadx this option. We should have asked for a higher premium. We are doing enough "favours" as it is by not getting the guaranteed money and giving Novadx more money.
C) The Acquisition will be completed through a newly incorporated company ("Newco") to be initially owned by Sandstorm and by Novadx, based on their relative contribution to the Purchase Price. Novadx will have full control over management and operation of Newco.
We already have seen the mgmt not performing well. Why are trusting them with this new Company.
I would love to hear other peoples' thoughts.
