RE: Deadline I don't think there were any dates put forth about limiting counter offers. In the Conf call they mentioned that they wanted to close this by early Dec and so documentation would have to go out in early November.
IMO the longer we go without a counter offer the probabilities of the current offer going through go up exponentially, if we consider the following:
- 66% of votes would be needed to approve an offer
- Most likely Argonaut or agents for AR have bought most of the shares offered in the past 2 days - that's 90+ million
- Most likely another big volume day today - at which point AR may control more than 33% of shares
- So if an offer came about they could vote no and defeat that offer
- When comes time to vote for the original offer - they obviously vote yes (controlling 33% or more is huge and combined with non-voting, would most likely win it)
- That alone could prevent an offer if it did not come real soon after the initial one
- One other possibility is that another company might have been interested and they have been doing some of the buying, but the odds are probably low for that option.
I have been through this before and the vote results were in the 90% levels.
