In a company where shareholders are management's priority, protecting management is protecting the shareholders. As a general rule, I don't leave my money with managers I don't trust, so you'll have to understand my confusion.

 

I'm glad you're confident in your own ability to decide if you like an offer, but I'm delighted to see that there are provisions that can help keep the focus on the long-term value. Short term gains can be very tempting to people, and I'd hate to see all my work fizzle for the sake of a few traders looking to make a quick buck.
