Old BOD's tendering shares

I don't know that we have any legal standing on this but there are certainly some problems with ethical standards. At the AGM shareholder meeting in 2008 My Father along with myself and several other minority shareholders were told that not only did the BOD's come to the conclusion that Screwusal .20 cent buyout offer was fair, we were also told the BOD's would be accepting  the offer and tendering their shares. Now 5 years later we find that not only did the old BOD's keep their shares (after suggesting shareholders accpet the fair offer and tender at .20) they are now tendering to Nord $1.20 higher than they suggested was fair to us, they are doing so against minorities best interest.
