$3.5 million sale price
$4.5 million in systems development and enhancements
40% equity stake in operating company (new company to be formed around KNCTR?)
One board seat on theoperating company
40% revenue for first 2 years, declining to 20% annually at year 5 and beyond
Up to $5 million to be received if new enterprise is sold or becomes public and 40% of the balance of the value of the transaction.

Sounds like a new social media/VOIP company in the making.
