Easy:

-The company is out of cash;

-The company's credit is stretched to the max;

-The company is barely breaking even.

Don't let people fool you into thinking a large shareholder trying to bail out is causing all of the company's woes.  Market forces dictate that if the company was profitable, the share price would be increasing.  It seems selling the company at a rock bottom price or a recapitalization gimmick are the company's only feasable options. 

Please Mr. Forrest, prove me wrong!
