Alder Resources Ltd. ("Alder" or the "Company") (TSX VENTURE:ALR) intends to complete a non-brokered private placement financing of up to 13,333,333 units (the "Units") at a price of $0.075 per Unit for gross proceeds of up to $1,000,000 (the "Offering"). Each Unit will be comprised of one common share of the Company and one-half of one common share purchase warrant (each whole warrant, a "Warrant"). Each Warrant will entitle the holder thereof to acquire one common share of the Company at an exercise price of $0.10 per common share for a period of 24 months following the closing date of the Offering.
The Closing Date of the Offering is scheduled to occur on or about February 15, 2013. All securities issued will be subject to a hold period of four months and one day. The Offering is subject to a number of conditions, including, without limitation, receipt of all regulatory approvals.
The gross proceeds of the Offering will be used to fund the drilling of the high grade copper-gold-silver mineralization that was discovered by exploration activities of the Company over the past year and for general corporate purposes.
Upon the closing of the Offering, Alder may pay to eligible finders in accordance with the policies of the TSX Venture Exchange finders' fees in cash, warrants or any combination thereof.
