Due to the cost and timing of holding a Shareholder's meeting for the purposes of ratifying the Plan, the Directors decided to forego ratification and confirmation of the Plan at this time and to allow the Plan to terminate, in accordance with its terms....  vs. the legal cost and this golden parachute?
