It sounds like a court case could be brought against Avenex by shareholders arguing that sale of Elbow River effectively impaired the operating company and substantially changed its ability to operate.

 

However:

 

1) Who is going to pay the legal bill for this?  It would require a hedge fund buying a very large piece and amortizing the legal cost into the investment cost.

 

2) It's not clear to me if the court agrees with this argument, does the court have the right to undo the asset sale contract entirely?   If not, what would be the point?   Civil penalties against Avenex as a cash-flow-negative shell of its former self  is hardly worth pursuing.

 

If such a lawsuit were initiated, Avenex's share price would likely gap up.
