I don't think thats the case but just point me to the applicable clause where it says that a shareholder "no" vote  constitutes one of those "certain circumstances"

"agreed to pay Charger a non-completion fee of $0.85 million and Pace a non-completion fee of $3.65
million if the Arrangement is not completed under certain circumstances"
