No I'm certainly not management.  I follow the boards and this situation with SAX enticed me to jump in!  Usually a prospective acquiree will tender the offer at the same time of the press release.  It seems as though Hable and the board don't get along.  It certainly isn't normal to launch an unsolicited takeover of a company while you are still employed as an EVP of the company.  It probably comes down to a power struggle.  The reason the share price is nowhere near the acquisition "offer" price is because the market is skeptical of: 1) that the offer will even be made, and 2) that the board will accept the offer given the apparant difficulties with Hable.
