The TSX Venture Exchange has accepted for filing documentation with respect to a brokered private placement announced Jan. 21, 2013, and Feb. 5, 2013:

Number of shares: 14.4 million shares

Purchase price: 50 cents per share

Warrants: 14.4 million share purchase warrants to purchase 14.4 million shares

Warrant exercise price: 75 cents for a two-year period

Number of placees: 56 placees

Insider participation: Pinetree Income Partnership (Pinetree Capital Ltd.) -- 1.5 million, Sheldon Intwentash -- one million, Christopher Lee Shepherd -- 50,000

Agent's fee: A cash commission of $504,000 and 1.44 million broker warrants payable to IBK Capital Corp; each broker warrant entitles the holder to acquire one common share at 50 cents for a three-year period

Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
