This board is like most junior boards.  Blame management because nobody wants to buy your company.  M&A  is just starting to get going with people feeling moderately confident to go ahead and use the oodles of cheap debt available to put through a deal.  NVS is additionally hit as it is getting less than WTI or Brent pricing due to the infrastructure shortage, which won't be alleviated anytime soon.  Management is likely doing all they can but will not give away the company as it continues to meet its operating targets.  We are lucky that the underlying company here is solid if not exceptional. 

Having been part of takeovers in my business life, nothing is smooth and lots of due diligence is done before even an initial offer is conducted.  Cool your spurs everyone and hope for continued good operating performance.
