I owned a piece of the business.   The business has had more than half of its value permanently destroyed by management.   Management should be held accountable for the negligence in destroying this value.

It's not even clear that the sale of Elbow River was legal.   Canadian law may have been violated.   Again, management should be held accountable not rewarded.

I don't understand how the merger gives more value to shareholders at this point than just rolling up the company, sending out the cash as dividend, and selling the remaining assets.   That would be less overall value destruction than giving the cash to some weird combination of additional sub-par assets.   

I strongly object to the merger simply on the grounds that it gives management a golden parachute, which they do not deserve.
