I mailed my vote on Fri Apr 19th I gave up waiting for management to revise the proxy form to reflect the three additional names for director so we could vote for 5 positions on the Board out of 8 candidates. The company has known about this since April 9th, according to the dissident shareholders' press release. Therefore, I don't think management is going to issue a revised voting form and we are running out of time. The voting form has to be received by 5pm Thursday April 25th.
I'm a retail investor, not a lawyer. I hope I did this correctly. I printed the names of the 3 new candidates on the form, starting beside candidate 05 and continued underneath. I labelled them candidate 06, 07 and 08. I then drew two empty boxes beside each name. Then I voted by filling in the box I selected (for or withhold). Because I have now modified managment's form, I worried that managment would reject the form, so I crossed out the management-provided names who were to represent me at the meeting and printed Todd Axelrod in the box on the form. This changes it from a management proxy to an unsolicited proxy.
Mr. Axelrod, if you read this bulleting board, I respectfully ask you to represent me at the meeting and vote my shares according to how I voted on the form. If other proposals come up at the meeting, this form gives you the authority to vote as you wish. Please be sure to ask the scrutineer at the front door for my proxy form. It is for 211,000 shares and my last name begins with "A". (No, guys, my name is not Axelrod.)
It is a shame it had to go this way. I am a big fan of PCA3 and what Dr. Fradet and his colleagues in the Netherlands have achieved. But I'm retired and cannot afford the losses anymore.
