STRATHMORE ANNOUNCES SHAREHOLDER APPROVAL OF ACQUISITION BY ENERGY FUELS
STRATHMORE MINERALS CORP.
("Strathmore" or the "Company") is pleased to announce that at a Special shareholder meeting held today, shareholders overwhelmingly approved the previously announced acquisition of Strathmore by Energy Fuels Inc. ("Energy Fuels") (TSX: EFR; OTCQX: EFRFF). As was previously announced on June 11, 2013, Strathmore and Energy Fuels entered into a definitive arrangement agreement whereby Energy Fuels will acquire all of the issued and outstanding shares of Strathmore (the "Transaction") in exchange for Energy Fuels Shares, by way of a Plan of Arrangement (the "Arrangement"). Details of the Transaction are set out in Strathmore’s Management Information Circular dated July 19, 2013, which is available under Strathmore’s SEDAR profile at www.sedar.com and on the Company’s website homepage at www.strathmoreminerals.com.
Of the votes cast at the Strathmore Special shareholder meeting, 99.3% were in favour of the Arrangement.
Completion of the Arrangement is subject to satisfaction of various conditions, including the issuance of a final order approving the Arrangement by the Supreme Court of British Columbia. The hearing in respect of such final order is scheduled for August 21, 2013. The completion of the Transaction is also subject to satisfaction of certain customary conditions, including but not limited to, Toronto Stock Exchange approval and regulatory approval. Subject to satisfaction of such conditions, the effective time and date of the Transaction is expected to be at 11:59 (Eastern) on August 28, 2013.
