Why the need for more $$?

Why the need for more $$?Just a thought, but why does BYV want/need any more money and dilution to shareholders at this point?  I hear people saying to "keep the lights on" and keep proving up resources.  This situation is somewhat unique in that this is not a company in search of a buyer from the entire world of possible buyers.  We now know who the one and only buyer would be, and it would seem to make more sense to let the lights go out when money is gone, and go with the drill results we have at that time, and just post a note on the door saying in effect "Dear NGD, when you want to talk, here is our number."  Why dilute to prove up what we already know is there and end up selling more of the company's new shares to NGD anyway on the cheap?  What am I missing?
