From Cantor Fitzgerald@lev - The statements that AMW shareholders will own 51% of FCU after the transaction is completed may be somewhat misleading.  I stand to be corrected but I believe AMW will be contibuting more cash to the FCU/AMW merger than FCU currently has.  So for arguments sake, if AMW contibuted $100M into the merger and FCU contributed $1M, than obviously AMW shareholders would want to own more than 50% of FCU.  To know if AMW did actually receive a premium as the 51% figure implies, the cash value of all the variously priced options and warrants of both companies must be added to their cash positions and then compared against each other to see who is putting in more cash.
