Thank you for your comments.
I thought any offer would need to be disclosed to shareholders, if the offer was indeed a serious one.  I'm not sure what an informal offer would look like.  Would it be company x asking BTI: "if we were to offer you x dollars per share, would you advise shareholders to take it?".
I suppose I fear that a company could make a lowball offer before we get a licensing deal, potentially picking it up for cheap, if uninformed/impatient shareholders agreed to the offering.
Again, it just surprises me that Roche and all other interested pharmas have not made a formal offering, especially with all the buying in the biotech sector.
