Here are questions that should be brought up at the annual shareholder meeting.

A look at this years Annual Meeting Information document reveals evidence that an investigation should be conducted by the Securities Commission as to the miss appropriation of funds by ZMD management should nepatism and non-disclosure of relationships be a crime.  If not, than clearly ZMD managment can continue their merry ways of spending investors dollars.

Income Splitting Red Flags
1. When have you ever seen a CEO and CFO receieve the same options based awards
2. When have you seen the CEO and CFO receive relatively similar compensation inclusive of salary and options 

Family Nempatism
1. All three have the same number of options issued to each (see page 8); how does a CEO, CFO and VP all get the same options?

Rober Powell
1. Who is this guy?  Only thing I can find is that he was part of the RTO many years ago.
2. Why is deemed an independent director when in the past he was a consultant to ZMD and on their payroll.  Now he gets options as his only form of compensation thus making him independent? Could a forensic accounting of ZMD books find a trail of payments?

Add the 4 individual together and you have control of the board thus the company!

US Joint Venture
What happened to the cash raied via the US JV?
Are the trio collecting fees directly from the JV that are not being disclosed in management compensation numbers of ZMD?

Destruction of Value
Why would you sell 50% of the value of ZMD to a US Pshychiatric software vendor?  How are they going to penetrate the broader market?  Think about it, they sold 50% of the US market for only $3M or a valuation of $6M meaning Canada is only worth $600,000?  ZoomMed Management has pegged the value of ZMD at $6.6M with this transaction.  
They have raised $32M to date, and have valued the company at $6.5M !!!!!
Where did that $32M dollars go?
