Don't you think it is more likely that Discovery is making a move for control of the board?  Willott, Ebern and someone else is stepping down, will elect 7 members only.  SouthEastern sold their 12% of the company (without the stock price dropping... so there was a buyer), Discovery is now up to 15%... looks to me like that Discovery is making sure they completely control the new board to be elected January 15th.
