How is there "value for shareholders"?When common share holders of TVI (the TSX shares) basically lose 68% of all assets - as they sold the sub that holds all Philippine assets! And the same buyer will own 5%of the TSX shares? (even more dilution)

I have never seen a more complicated deal - which looks to be great for Management and significantly dilutive to any TSX TVI shareholder. I don't think the shareholders understand how much less of all assets they will actually own after this deal.
