'Transgressions' is a very strong word but there may be some truth to it.

The reverse stock split is action #5 in an 8 actions plan proposed by FF. It is subject to shareholders approval, which will be probaly proposed (if at all) at the next annual meeting in mid 2014 or later.
Action #1 is hiring a CEO which is most important. Also very important, in my opinion, is that only half of the board is independent. The other half are substantial shareholders.
No stakeholder, including FF, will propose or approve a stock split without seeing a positive reaction to new CEO and his operational team and stronger share price.
