It looks like OSK is in control of this takeover.   Very difficult to say because the fine points of the arguements are not public but...

It looks like RIM stalked Certicom in the exact same manner.  RIM eventually did win out but only by paying up because they too, RIM, had signed confidentiality agreements with Certicom.   RIM had then walked away from frienly talks.  RIM then came back with a hostile takeover bid.  Certicom sued in Ontario court.  These were two Ontario companies.  Certicom won.  RIM had to pay up.

I can not see a Quebec court being any more friendly (than an Ontario court) to Vancouver based Gold Corp.
