Why was the PR not for 'DISSEMINATION IN THE UNITED STATES'?

Why was the PR not for 'DISSEMINATION IN THE UNITED STATES'?Curious and ultimately pointless in our interconnected world....like American eyes didn't see it.

Of course securities laws are different in the US than in Canada...and at the end the PR explicitly states: 

Except for statements of historical fact relating to the Company, certain information contained herein constitutes "forward-looking information" under Canadian securities legislation.

I know that after all the fraud and shady practices of the dot bomb era the US brought in new legislation typically referred to as Sab-Ox for the legislators who wrote it, Sabornes Oxley (not sure if I'm spelling their names right).....anyway if the PR had been for dissemination in the US, would they have to change it to make it compliant with American securities regs?
