LNV or SGY

LNV or SGYCorrect me if I am wrong SGY is willing to pay .975 of a share for 1 LNV. The way I see it LNV is now trading at a discount to SPY, with that in mind would it be better to buy LNV over SGY. Any thoughts would be appreciated.
