RE:RE:RE:George Haywood LAVAL, QC, April 10, 2014 /CNW/ - Mr. George Haywood, the largest shareholder of Neptune Technologies & Bioressources Inc. (Neptune) (TSX:NTB) announced today that he intends to initiate or participate in, alone or together with joint actors, all actions he deems necessary or advisable to enhance shareholder value in Neptune, including exploring various means to effect changes in the current management. A number of other Neptune shareholders, namely Messrs. Con Egan, Conor O'Driscoll and Fulvio Dobrich have agreed to support Mr. Haywood's initiatives to enhance shareholder value in Neptune. As a result of their support, Messrs. Egan, O'Driscoll and Dobrich may be considered "joint actors" of Mr. Haywood.
Mr. Haywood beneficially owns or exercises control or direction over 7,323,442 common shares of Neptune (Shares), representing approximately 9.87% of the issued and outstanding Shares (based upon the 74,221,975 Shares stated by Neptune in its most recent public filings to be issued and outstanding). Mr. Haywood, together with Messrs. Egan, O'Driscoll and Dobrich, has beneficial ownership or exercises control or direction over 11,365,159 Shares, representing over 15% of the issued and outstanding Shares. Mr. Haywood, his associates and/or joint actors may acquire additional Shares through open market purchases, private agreements or otherwise.
Mr. Haywood has retained Norton Rose Fulbright Canada LLP as legal advisors and Kingsdale Shareholder Services as strategic shareholder and proxy advisors.
