As a former auditor, the one main reason for delay is if a potentially material subsequent event (event taking place after the balance sheet date) may require disclosure at the last minute.  Combine that with the pulled convertible and educated speculation may mean a financing to be announced at the higher share price.  Again, just throwing darts and I wasn't happy that they missed the guidance day since they only warned of it 6 days earlier.
