What is " Spinco" ?

What is " Spinco" ?
Sulliden names this in there deal with Rio in which the shareholders will get  .10 of a share and also I have seen it in a lot of other mining deals done just recently like the osisko deal. Is " spinco" just a generic name used to mention that a new coming is going to be formed or is it the name of the actual new company?
