"In June 2014, Investigation Counsel P.C. filed a class action in the Supreme Court of British Columbia against Newport Exploration Ltd. (“Newport”), certain of its officers and directors, and Reva Resources Corp. The class action is brought on behalf of those who owned shares of Newport at any time between April 30, 2013 and February 18, 2014.
The action arises from Newport’s alleged failure to generally disclose a material change in its affairs relating to a royalty it held on certain oil and gas properties in Australia. It is alleged that this failure caused the price of Newport’s securities to be artificially deflated during the class period and that the defendant directors and officers engaged in self-dealing to directly and indirectly profit from the deflation. The class members suffered damage by selling artificially deflated shares during the class period and through the dilution to their equity interests resulting from the impugned transactions involving the defendant directors and officers.
