In pursuing its investment objectives, the Fund seeks to achieve favorable after-tax returns for its shareholders by seeking to minimize the U.S. federal income tax consequences on income generated by the Fund. But still, as Dakota22 says, that's what the market pays for that stock. 

1) So what are the risks for PTA after that take over...??

2) Can't the market assess it? Is it that's why the market doesn't buy in?
