same thing happened with renegade ,same pattern ... it gives the buyer some bargaining power , they point to the market and say 'this is what the market is pricing your company at'  then they offer 50% higher price and say 'wow, arent we generous '  

if it saves the buyer 10% on the purchase of a company worth over $1 billion then all of this is well worth the effort
